HUMANISTS
OF HOUSTON (These bylaws were originally adopted in 2006.) Article I This Trust Fund shall be known as "Humanists of Houston Development Fund" (HOHDF), hereinafter referred to as the Fund. The property of the Fund will initially consist of the holdings in the Fidelity Investments Account [******] (valued at $10,290.09 as of October 31, 2006), and any additions made subsequently and any investments made from the corpus of the Fund. Article II The purpose of the Fund is to support the educational, ethical, philosophical and/or religious activities of the members of the Humanists of Houston. Withdrawals from the corpus shall not exceed five percent of the value of the corpus in any one year. Article III There shall be five (5) Trustees of the Fund who shall be responsible for the management and investment of the Fund. The Trustees of the Fund shall constitute the Board of Trustees of the Fund. Each Trustee shall serve a five year term starting on January 1st of his or her first year. New members shall be elected at the annual general meeting of Humanists of Houston in November of the year preceding the start of the new member’s term of office. In the event that a Trustee is incapacitated or resigns before the end of a normal term a special election shall be held to select a replacement at the next regular business meeting of Humanists of Houston. Article IV The officers of the Fund shall be: a. President, The duties of the officers shall be defined by the membership of the Board. Article V A change to these By -Laws shall require notification of the membership of Humanists of Houston in writing, at least ten (10) days in advance, and approval by two thirds (2/3) of the members present at a subsequent meeting. These By -Laws supercede all previous rules and directives. Article VI The Board of Trustees shall meet at the call of the President or three (3) of its members. A quorum for a Board Meeting shall be three (3) of the Board Members. The Board of Trustees shall meet at least once annually. Article VII All questions of procedure not covered in these articles shall be governed by Robert's Rules of Order (latest edition). Adopted November 18th 2006
